LIMITED COMMERCIAL ARTWORK LICENSE AGREEMENT

This Limited Commercial Artwork License Agreement ("Agreement") is entered into between the Artist ("Licensor") and the purchasing or licensing party ("Licensee").

1. OWNERSHIP & INTELLECTUAL PROPERTY

All artwork, images, likenesses, designs, visual compositions, source files, derivatives, concepts, branding elements, and associated intellectual property remain the sole and exclusive property of the Artist unless otherwise agreed upon in writing.

NO ownership rights are transferred under this Agreement.

All copyrights, reproduction rights, merchandising rights, licensing rights, derivative rights, distribution rights, exhibition rights, and commercial rights remain exclusively reserved by the Artist.

All rights not expressly granted herein remain reserved.

2. LICENSE GRANTED

The Artist grants the Licensee a LIMITED, NON-EXCLUSIVE, NON-TRANSFERABLE, REVOCABLE commercial usage license for approved purposes only.

ALL USES MUST RECEIVE WRITTEN APPROVAL FROM THE ARTIST PRIOR TO PUBLICATION, DISTRIBUTION, OR DISPLAY.

Approved uses may include:

  • Book covers
  • Editorial publications
  • Promotional advertisements
  • Newsletters
  • Websites (WITH RESTRICTIONS)
  • Streaming graphics
  • Podcast artwork
  • Social media promotion
  • Digital marketing materials
  • Approved online publications

This license is valid for ONE (1) YEAR from the date of signing unless otherwise agreed upon in writing. Renewal of this license requires written approval by the Artist.

3. PROHIBITED USES

The following uses are STRICTLY PROHIBITED unless expressly approved in writing by the Artist:

  • Physical print reproduction for resale
  • Posters
  • Canvas reproductions
  • Apparel or clothing prints
  • Merchandise of any kind
  • Stickers
  • Toys or collectibles
  • NFTs or blockchain minting
  • AI training datasets
  • Machine learning datasets
  • Unauthorized editing or manipulation
  • AI modification or reinterpretation
  • Resale or sublicensing
  • Product packaging
  • Mass production manufacturing
  • Replication of the artwork for commercial sale
  • Art show reproductions
  • Gallery display copies
  • Convention prints or banners
  • Mounted exhibition reproductions
  • Museum reproductions
  • Promotional giveaway prints
  • Physical replicas
  • Digital replica sales
  • Unauthorized advertisements
  • Third-party licensing
  • Stock image usage

NO DIGITAL OR PHYSICAL REPLICAS OF THE ARTWORK MAY BE CREATED FOR RESALE, EXHIBITION, PUBLIC DISPLAY, DISTRIBUTION, OR COMMERCIAL PURPOSES WITHOUT WRITTEN CONSENT FROM THE ARTIST.

NO COPIES MAY BE PRODUCED FOR ART SHOWS, GALLERIES, EXHIBITIONS, TRADE SHOWS, OR DISPLAY INSTALLATIONS WITHOUT A SEPARATE WRITTEN EXHIBITION LICENSE AGREEMENT.

4. LICENSING FEES, DIGITAL DISPLAY FEES, EXHIBITION FEES & ROYALTIES

The Licensee agrees to the following compensation structure unless otherwise agreed upon in writing by the Artist.

STANDARD COMMERCIAL LICENSE

  • $15,000 USD upfront licensing fee PLUS
  • $1.00 USD royalty per physical or digital book sold utilizing the artwork.

The Artist reserves the right to renegotiate royalties into a 9% gross revenue royalty structure depending upon total sales volume, continued usage, audience reach, duration of use, distribution scale, or expanded commercial application. Royalty payments shall be due quarterly unless otherwise specified.

DIGITAL DISPLAY / ONLINE USAGE LICENSE

For all digital commercial usage including websites, streaming services, podcasts, digital advertisements, online promotions, social media campaigns, broadcast media, digital exhibitions, online publications, or recurring promotional display, the Licensee agrees to a BASE DIGITAL DISPLAY LICENSING RATE of:

  • $25,000 USD per month minimum base commercial licensing rate PLUS
  • an additional $10,000 USD per month for extended digital distribution, recurring online usage, syndicated media usage, or multi-platform promotional usage.

Licensing durations shorter than one (1) month shall be billed at a ONE WEEK MINIMUM RATE.

ART SHOWS, GALLERIES & EXHIBITIONS

NO PHYSICAL OR DIGITAL COPIES OF THE ARTWORK MAY BE PRODUCED FOR gallery display, art exhibitions, conventions, museums, promotional banners, mounted reproductions, trade shows, or public showcase environments unless expressly approved in writing by the Artist.

If approved, exhibition licensing shall require:

  • a minimum BASE RATE of $25,000 USD per month PLUS
  • 10% of all ticket sales, admissions, exhibition revenue, promotional revenue, or associated event proceeds involving the artwork.

5. ATTRIBUTION

Where reasonably possible, the Licensee agrees to credit the Artist as:

6. APPROVAL RIGHTS

The Artist retains full approval rights regarding major alterations, editing or manipulation, recoloring, AI modification, promotional context, product association, religious usage, political usage, sensitive or controversial applications, public display context, distribution scope, and marketing placement.

The Artist reserves the right to deny, restrict, modify, or revoke usage permissions at the Artist's discretion and may revoke licensing rights if the artwork is used in defamatory, exploitative, illegal, deceptive, misleading, unauthorized, or reputation-damaging contexts.

7. CHARITABLE & PHILANTHROPIC ALLOCATION

The Artist reserves the right to allocate portions of licensing proceeds, royalties, exhibition revenue, or associated compensation toward charitable organizations, nonprofit initiatives, humanitarian efforts, environmental projects, educational programs, artistic development initiatives, community support programs, or other socially beneficial causes at the Artist's discretion.

8. COPYRIGHT ENFORCEMENT

Unauthorized reproduction, duplication, AI training, merchandising, resale, exhibition, commercial exploitation, sublicensing, or distribution of the artwork constitutes copyright infringement and may result in legal action to the fullest extent permitted by law.

9. TERMINATION

This Agreement automatically terminates if royalty payments are not made, licensing fees are unpaid, terms are violated, unauthorized reproduction occurs, unauthorized AI usage occurs, exhibition terms are breached, or the license period expires without renewal.

Upon termination, ALL commercial usage rights immediately cease. The Licensee must immediately discontinue usage, publication, distribution, promotion, and display of all licensed artwork upon termination unless otherwise agreed upon in writing.

10. AGREEMENT MODIFICATIONS

Any modifications, amendments, extensions, renewals, or negotiated changes to this Agreement must be made in writing and agreed upon by both parties. No verbal agreements shall supersede the terms of this document.

By purchasing, licensing, displaying, distributing, promoting, or utilizing the artwork in any form, the Licensee acknowledges and agrees to all terms listed within this Agreement.
